Terms & Conditions

Use of Audio Content

Any audio content, including but not limited to recordings provided by the Client, recordings created, edited, mixed, altered, or enhanced by the Service Provider, or any other audio material that has been manipulated in any manner ("Audio Content"), shall not be used, published, distributed, or incorporated into the above media until the full payment of the agreed-upon fee for such use has been received and cleared. The Client shall have no rights to utilize, reproduce, or exploit the Audio Content in any form or medium until such payment has been made. Unauthorized use or incorporation of the Audio Content prior to full payment shall constitute a breach of this Agreement

Work Estimate and Scope of Services

The undersigned estimates that a single service for a 15-minute video will require approximately one week of work to complete. Prior to commencing work, the undersigned reserves the right to preview the film to assess the scope and determine an accurate timeline for completion. The fee for the specified service is fixed and shall not increase regardless of the actual time required to complete the work.

Review and Revisions Clause

The Post-Production Professional ("Contractor") shall provide the Client with an initial temporary audio dub ("Temp Dub") for review and approval. The Client is entitled to two (2) rounds of revisions at no additional cost. Any additional revisions beyond the initial two shall be subject to additional fees, the amount of which shall be specified in this Agreement or agreed upon in writing prior to commencement of further work. All revision requests must be clearly communicated in writing. Delays in providing feedback may affect the final delivery timeline.

Promotional Use and Portfolio Rights

The Sound Designer (hereinafter referred to as "Licensor") shall have the non-exclusive, worldwide, royalty-free right to use, reproduce, and display up to thirty (30) seconds of the media created under this Agreement ("Work") solely for the purpose of promoting the Licensor’s portfolio, showcasing their work, and marketing their services to the public. Such use shall be for non-profit purposes only and shall not generate any direct or indirect profit or commercial advantage for the Licensor or any third party. The Licensor shall not use the Work in any manner that could reasonably be deemed defamatory, infringing, or otherwise unlawful.

Deliverables and Project Requirements

As a condition of providing sound editing services, the undersigned requires receipt of a complete, finalized picture edit from the picture editor prior to commencing work. The undersigned does not agree to work on projects where the video edit is subject to ongoing or potential changes after work has begun. In addition, the undersigned requires the following deliverables to be provided: A lower-resolution version of the final video, including a guide track of the soundtraAn AAF or OMF file containing all used audio clips (including boom and lavalier recordings), pre-synced to the video.

All individual audio files associated with the project, including raw and edited tracks.

Work will not commence until these deliverables are received and are deemed satisfactory by the undersigned.

Dialogue Editing and ADR Clause

The undersigned dialogue editor explicitly states that they do not perform Automated Dialogue Replacement (ADR) recording or editing at any location other than their designated remote studio. The dialogue editor is willing to provide ADR services remotely from their home studio for projects where the client or production company arranges for travel to the dialogue editor’s location.

All ADR-related services performed by the dialogue editor will be billed at the agreed-upon hourly rate. The dialogue editor does not provide on-location ADR recording services and will not travel to any location for such work unless otherwise agreed in writing and subject to additional terms and compensation.

Scope of Services and Acknowledgment of Music Composition

The Service Provider shall provide dialogue editing and mixing, sound effects editing and mixing, sound effects design, ambient musical elements, and re-recording mixing (collectively, the "Services"). The Client acknowledges and agrees that the Service Provider does not compose, write, record, or create original music. The Service Provider shall perform music supervision by sourcing and licensing royalty-free or pre-existing music for use in the Project. The Client understands and agrees that the Service Provider is not responsible for any aspects of original music composition, recording, or production, and shall not be held liable for any claims related to the music used in the Project.
